Property of the site & acceptance of the terms of use

These Terms of Use (the “Terms of Use”) apply to the CEBiz S.A. website accessible via the address www.UrsulaGates.com (the “Site”). The Site is the property of CEBiz S.A. (“CEBiz”) and its licensors. BY USING THE SITE, YOU ACCEPT THESE TERMS OF USE; IF YOU DO NOT ACCEPT THEM, DO NOT USE THE SITE.

CEBiz reserves the right, at its sole discretion, to change, modify, add, or remove portions of these Terms of Use at any time. It is your responsibility to periodically check these Terms of Use for changes. By continuing to use the Site after the posting of changes, you accept the changes. As long as you comply with these Terms of Use, CEBiz grants you a personal, non-exclusive, non-transferable, and limited privilege to access and use the Site.

We use connection data to measure the Site's audience, enhance product marketing, and improve the user navigation experience.

Content

All text, graphics, user interfaces, visual interfaces, photographs, trademarks, logos, sounds, music, artwork, and computer code (collectively, the “Content”), including but not limited to the design, structure, selection, coordination, expression, “look and feel,” and arrangement of such Content, contained on the Site is owned, controlled, or licensed by or to CEBiz, and is protected by Belgian law, copyright, patents, and trademarks, as well as various other intellectual property rights and unfair competition laws.

Unless expressly provided in these Terms of Use, no part of the Site and no Content may be copied, reproduced, republished, uploaded, displayed, publicly performed, encoded, translated, transmitted, or distributed in any way (including by “mirroring”) to any other computer, server, website, or other medium for publication or distribution or for any commercial enterprise, without the prior written consent of CEBiz.

You may use information about CEBiz products (such as data sheets, knowledge base articles, and other similar materials) made available by CEBiz for download from the Site, provided that you: (*) do not remove any proprietary notices from any copies of these documents, (**) use such information solely for personal, non-commercial informational purposes and do not copy or post it on any networked computer or broadcast it in any media, (***) do not modify such information, and (****) do not make any additional representations or warranties regarding these documents.

Applicable Law; Dispute Resolution

You agree that all matters relating to your access to or use of the Site, including all disputes, shall be governed by Belgian law, without regard to its conflict of law provisions. You consent to the personal jurisdiction of the courts of Liège and waive any objection to such jurisdiction or venue. You agree that Belgian French shall be the language of the proceedings. Any claim under these Terms of Use must be brought within one year from the date the cause of action arises, or such claim or cause of action shall be time-barred. Claims made under the general terms and conditions for the purchase of goods and services are not subject to this limitation. No recovery may be sought or received for damages other than out-of-pocket expenses, except that the prevailing party shall be entitled to costs and attorneys’ fees. In the event of any controversy or dispute between CEBiz and you arising out of or in connection with your use of the Site, the parties shall attempt, promptly and in good faith, to resolve such dispute. If we are unable to resolve any such dispute within a reasonable time (not exceeding thirty (30) days), either party may submit such controversy or dispute to mediation. If the dispute cannot be resolved through mediation, the parties are free to exercise any rights or remedies available to them under applicable law.

Other

It is prohibited to use, export, or re-export any content or any copy or adaptation of such content, or any product or service offered on the Site, in violation of any applicable laws or regulations, including but not limited to Belgian laws and regulations related thereto.

If any provision of these Terms of Use is deemed invalid or unenforceable by a court or other competent tribunal, that provision shall be limited or eliminated to the minimum extent necessary and replaced with a valid provision that best embodies the intent of these Terms of Use, so that these Terms of Use shall remain fully in force and effect. These Terms of Use constitute the entire agreement between you and CEBiz with respect to your use of the Site, and all other prior written or oral agreements or arrangements between you and CEBiz regarding such use are hereby superseded and canceled. Except as provided in a purchase agreement you enter into with CEBiz, CEBiz will not accept any counter-offers to these Terms of Use, and all such offers are hereby categorically rejected. CEBiz’s failure to insist on or enforce strict performance of these Terms of Use shall not be construed as a waiver by CEBiz of any provision or any right it has to enforce these Terms of Use, and any course of conduct between CEBiz and you or any other party shall not be deemed to modify any provision of these Terms of Use. These Terms of Use shall not be interpreted as conferring any rights or remedies on any third parties.

CEBiz provides access to CEBiz’s international data and, as such, may contain references or cross-references to CEBiz products, programs, and services that are not advertised in your country. Such references do not imply that CEBiz intends to advertise those products, programs, or services in your country.
